Umber Systems and Ground Truth to merge

Umber Systems, a provider of carrier and network
analytics and Ground Truth, the mobile measurement firm that offers actionable
measures of Mobile Internet usage, announced their merger.

The merged entity, Mobile Intelligence Solutions will
solidify the combined company’s position as the premier mobile analytics
and measurement solution in the marketplace while allowing for new product
opportunities.

Mobile Intelligence Solutions will
have two divisions: a carrier analytics business that will operate under the
Umber brand, and a syndicated mobile market intelligence business that will
operate under the Ground Truth brand.

Ground Truth has long admired Umber’s strengths in
delivering intelligent monitoring and analytics solutions to carriers via a
massively scalable platform that works across applications, devices, networks
and locations and helps carriers obtain an ongoing picture of mobile data
usage,” said Sterling Wilson, president and CEO, Ground Truth.

Joining forces with Ground Truth’s innovative team made
perfect sense,” said Asa Kalavade, founder and CTO, Umber Systems.

Combining their deep expertise in mobile measurement for
syndicated market research products and services with our advanced carrier
analytics platform will bring to the marketplace the type of sophisticated
analytics and measurement all participants in the mobile ecosystem from
carriers to marketers and publishers are clamoring for,” Kalavade added.

As part of the merger, the company has raised $8 million
from North Bridge Venture Partners, Steamboat Ventures, Voyager Capital,
Emergence Capital and OPENAIR Equity Partners.

The transaction brings Ed Anderson, managing partner at
North Bridge Venture Partners, to Mobile Intelligence Solution’s board of
directors. Ed will be joined on the board by former Ground Truth board members
Beau Laskey of Steamboat Ventures and Erik Benson of Voyager Capital.

I strongly believe that the creation of Mobile
Intelligence Solutions produces an exciting entity that is uniquely
qualified to help the widest range of companies understand and profit
from the explosive growth in Mobile Internet usage,” said Anderson.

“In the past year we have seen the demand for more
accurate, actionable measurement of Mobile Internet usage from marketers,
advertisers, and media companies as well as our carrier data partners,”
said Beau Laskey, board member and managing director, Steamboat Ventures.

“The creation of Mobile Intelligence Solutions allows
us to provide the industry with exactly the type of insights and measures it
has been demanding,” Laskey added.

Sterling Wilson of Ground Truth, who was elected the
company’s president and CEO, will lead Mobile Intelligence Solutions. Asa
Kalavade of Umber was named CTO and SVP of Engineering.
